SAXINGER advises the owner of SGS Industrial Services on the sale to SPIE

SAXINGER advised the Griesmaier Private Foundation, as the owner of the SGS Industrial Services Group (“SGS”), on the sale of the company to SPIE Germany Switzerland Austria GmbH (“SPIE”). Through this transaction, SGS becomes part of the international SPIE Group, a leading multi-technical services provider in the fields of energy and communications.

SGS is a globally active specialist in mechanical installation and electrical engineering for industrial facilities. The company, headquartered in Dorf an der Pram (Upper Austria), employs around 800 people and most recently generated annual revenues of approximately €180 million. SGS has many years of experience in delivering complex projects across various industrial sectors and is an important partner for international industrial corporations.

SPIE is a leading multi-technical services provider in the fields of energy and communications, with more than 55,000 employees worldwide and revenues of approximately €10.4 billion.

As part of the transaction, SGS will continue to operate as an independent business unit within SPIE’s “Industrial Services” division. The existing management team will remain in place and will continue to be responsible for the company’s operational business. The aim of the transaction is to further strengthen the market position in industrial services, leverage synergies, and secure long-term growth, particularly in the context of the energy and industrial transition.

Completion of the transaction is still subject to the required antitrust approvals.

The SAXINGER transaction team was led by Partners Wolfgang Lauss and Sebastian Hütter, who advised the client on all legal matters related to the transaction. SPIE was primarily advised by Latham & Watkins Düsseldorf (Ingo Strauss, Lucas Schweitzer, and Katharina Intfeld). KPMG Law acted as Austrian local counsel for SPIE.
