Advising Pierer Group in the course of the simplification of the shareholding structure and capital increase.

Based on the authorisation in the Articles of Association, the Management Board of the listed PIERER Mobility AG resolved on 29 September 2021 to increase the share capital by 49.95%, excluding subscription rights of the other shareholders, with the capital increase against contribution in kind of 46.5% of the shares of KTM AG by Pierer Bajaj AG as contributor in kind. The 46.5% of the shares in KTM AG had previously been contributed to Pierer Bajaj AG by Bajaj Auto International Holdings BV - after the relevant antitrust approvals had been obtained - in exchange for the granting of new shares.

On 19 October 2021, the capital increase in kind was approved by the Supervisory Board of PIERER Mobility AG, the capital increase was subscribed by Pierer Baja AG and the contribution in kind was made. The capital increase in kind was entered in the commercial register on 22.10.2021.
