What is a corporation?
A corporation is a legal entity under private law with its own legal personality, established on the basis of a memorandum and articles of association. Corporations are characterised by statutory provisions governing the raising and maintenance of capital. The focus is on the investment of capital. The company’s assets are separate from those of its shareholders (‘principle of separation’), i.e. the shareholders are, in principle, not liable for the company’s debts. Corporations include the public limited company (AG), the private limited company (GmbH) and the Societas Europaea (SE).
