Success for minority shareholders represented by SDZLEGAL Schindhelm in the case concerning the delisting resolution.

As part of our corporate dispute resolution practice, we represented minority shareholders in a dispute concerning the adoption of a resolution resulting in the exit of a mining company from the Stock Exchange.

During the process, we argued that the tender offer to acquire 100% of the shares - as a mandatory element of the delisting process - was flawed. We showed, among other things, that the current price, in the run-up to the company's decision to delist, did not reflect the fair value of its shares and was also exposed to unnatural fluctuations due to a lack of liquidity.

The District Court fully shared our argumentation. As a result of the measures taken, the company will still be listed, which has protected many minority shareholders from financial harm.
